Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and Raging Waters Tech Labs SL ("areuworking", "we", "us", or "our") and govern your access to and use of the areuworking website at areuworking.com, the web application at app.areuworking.com, our APIs, our MCP server, and our related services (together, the "Service"). By creating an account or using the Service you accept these Terms.

2. The Service

areuworking is a software-as-a-service product that helps teams request, approve, and track time off, see team availability, and integrate that data into their own tools through an API and an MCP server. We may add, change, or remove features over time.

3. Eligibility and accounts

You must be at least 18 years old to create an account. By signing up, you confirm that you are 18 or over and, if you are signing up on behalf of an organisation, that you have authority to bind that organisation to these Terms.

You are responsible for:

  • Providing accurate registration and billing information.
  • Keeping your credentials and API keys secure.
  • All activity that occurs under your account, including activity by team members and any integrations or assistants you connect.

Tell us at privacy@areuworking.com as soon as you suspect that your account or any credential has been compromised.

4. Free trial

We offer a 14-day trial of our paid plans. A valid payment method is required to start the trial. If you do not cancel before the trial ends, the subscription automatically converts to the plan you selected and you will be charged the corresponding fee. You can cancel at any time during the trial from your account settings.

5. Subscriptions, fees and taxes

5.1 Plans and pricing

Current plans, features and prices are published at areuworking.com/pricing. Subscriptions are billed in advance, monthly or annually, for the plan you select. Prices are quoted exclusive of VAT and other applicable taxes, which will be added to your invoice at the legally required rate.

5.2 Payments

Payments are processed by Stripe. By providing payment details you authorise us to charge the payment method on file for all fees owed under your subscription. If a charge fails, we may retry it and may suspend the Service if the failure is not resolved within a reasonable time.

5.3 Renewals and cancellation

Subscriptions renew automatically for the same term and at the then-current price unless you cancel before the end of the current term. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period and your account drops to the Free plan from then on.

5.4 No refunds

Except where required by mandatory law, fees paid are non-refundable. We do not issue refunds or credits for partially used periods, unused features, or downgrades during a billing period.

Consumers based in the European Union have a statutory 14-day right of withdrawal. By starting to use the Service during that period you expressly ask us to begin performance and acknowledge that you lose the right of withdrawal once the Service has been fully provided. This Service is primarily intended for businesses and professionals acting in that capacity.

5.5 Price changes

We may change prices for new subscription terms. We will notify you at least 30 days before a price change takes effect. If you do not accept the new price you may cancel before it applies; otherwise it will apply at the next renewal.

6. Customer data and ownership

As between you and us, you own the data you and your team submit to the Service ("Customer Data"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display Customer Data solely to operate, secure, and improve the Service for you and to comply with our legal obligations.

Where the Customer Data includes personal data of your team members, you are the controller and we are the processor. Our processing is governed by our Privacy Policy and, where applicable, by a Data Processing Agreement available at privacy@areuworking.com.

7. Acceptable use

You agree not to, and not to allow anyone to:

  • Use the Service in any way that breaks applicable law or infringes third-party rights.
  • Upload malware, run security scans, or attempt to bypass authentication or rate limits.
  • Reverse engineer, decompile, or attempt to extract our source code, except where the law expressly allows it.
  • Use the Service to send unsolicited messages or harass other users.
  • Resell, sublicense, lease, or otherwise commercially exploit the Service.
  • Build a product that competes with the Service using our APIs, MCP server, output, or interfaces.
  • Use automated means to access the Service except through our documented API and MCP server within published limits.

We may suspend or terminate accounts that violate this section, with or without notice, depending on the severity of the violation.

8. API and MCP server

The Presence API and MCP server are part of the Service and are subject to these Terms. You will:

  • Use only the credentials issued to you, rotate them when compromised, and keep them secret.
  • Respect any documented rate limits and quotas. We may apply additional, dynamic limits to protect the Service from abuse and may change rate limits with reasonable notice.
  • Not use the API or MCP server to build, train, or improve a product that competes with the Service.
  • Not embed or expose API or MCP functionality in a way that lets third parties access the Service without their own areuworking account, except as needed for your own internal tools.

AI assistants, agents, or MCP clients that you connect to your account act under your authority. You are responsible for what they read, write, or change in your account.

9. Service availability

We aim to keep the Service available and performant but provide it on a best-effort basis without a formal uptime commitment. We may carry out scheduled maintenance, apply security patches, or interrupt the Service to address incidents. Where reasonably possible, we will give advance notice of planned maintenance affecting availability.

10. Intellectual property

We and our licensors own all rights, title, and interest in and to the Service, including software, design, content, trademarks, and documentation. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Service while your account is active. No other rights are granted by implication.

We welcome feedback. If you send us suggestions or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use them without restriction or obligation to you.

11. Third-party services

The Service integrates with third-party services such as Stripe (payments), SendGrid (email), PostHog (analytics), and others listed in our Privacy Policy. Those services are governed by their own terms and privacy policies; we are not responsible for their content or availability.

12. Suspension and termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees, or if we reasonably believe your use puts the Service or other users at risk. Where practical we will give you notice and an opportunity to fix the issue first.

On termination, your right to use the Service ends. You can export Customer Data while your account is active or during the closure grace period. After that, we delete Customer Data as described in our Privacy Policy. Provisions that by their nature should survive β€” including fees owed, ownership, disclaimers, limitation of liability, indemnities, and governing law β€” survive termination.

13. Warranties and disclaimers

We provide the Service "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties not expressly set out in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet every requirement.

Nothing in these Terms excludes or limits any warranty or right that cannot lawfully be excluded or limited, including rights of consumers under EU and Spanish law.

14. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility of such damages.

Our total aggregate liability arising out of or related to these Terms and the Service in any twelve-month period will not exceed the fees you paid to us during the twelve months immediately preceding the event giving rise to the claim. If you have not paid any fees, our total liability will not exceed one hundred euros (€100).

Nothing in these Terms limits or excludes liability for fraud, gross negligence, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be limited or excluded under applicable law.

15. Indemnity

You will defend, indemnify, and hold harmless areuworking and its officers, employees, and contractors from any third-party claim arising out of (a) your use of the Service in breach of these Terms, (b) Customer Data, including any claim that it infringes a third-party right or breaks the law, or (c) your acts or omissions in administering accounts on behalf of an organisation.

16. Force majeure

Neither party is liable for delay or failure to perform when caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, strikes, internet or telecommunications failures, denial-of-service attacks, or acts of government.

17. Changes to these Terms

We may update these Terms from time to time. When we do, we will change the "Last updated" date and, for material changes, notify account holders by email at least 30 days before the changes take effect. Continued use of the Service after the effective date means you accept the updated Terms. If you do not accept them, you should cancel your subscription before they take effect.

18. Governing law and disputes

These Terms are governed by the laws of Spain, without regard to conflict-of-laws rules.

For users acting as businesses or professionals, any dispute arising out of or related to these Terms or the Service will be submitted to the exclusive jurisdiction of the courts of Madrid, Spain.

For users acting as consumers, this clause does not affect the mandatory rights you have to bring proceedings in, or be sued in, the courts of your country of residence under EU law. You may also access the European Commission's online dispute resolution platform at ec.europa.eu/consumers/odr.

19. Miscellaneous

  • If any part of these Terms is held unenforceable, the rest will remain in force.
  • Our failure to enforce a right is not a waiver of that right.
  • You may not assign or transfer these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • These Terms, together with the Privacy Policy and any Data Processing Agreement signed with you, are the entire agreement between us regarding the Service.
